LICENSE AND LEGAL TERMS OF SUBMISSION

By submitting photographs or other media through this form (Submissions), you grant The Good Food Institute, Inc. and its agents and employees (GFI), a perpetual, nonexclusive, royalty free, worldwide license to use, reproduce, distribute, share, modify, adapt, publish, publicly display, and publicly perform any intellectual property included in the Submissions, including, without limitation, copyrights, trademarks, and/or trade dress, for noncommercial purposes only, in any manner or in any medium. For avoidance of doubt, the foregoing license includes the right to share Submissions with media and news organizations for use in coverage of alternative protein.
Further, by submitting Submissions:
- You release, acquit and forever discharge GFI, and its current and former agents, officers, and employees, from any and all claims, demands, damages and liabilities arising out of or in connection with the use or distribution of the Submissions, including but not limited to any claims for infringement of intellectual property, invasion of privacy, appropriation of likeness, or defamation.
- YOU REPRESENT AND AFFIRM THAT YOU HAVE THE LEGAL AUTHORITY TO GRANT THE FOREGOING LICENSE AND RELEASE OF LIABILITY. YOU AGREE TO INDEMNIFY GFI, AND ITS CURRENT AND FORMER AGENTS, OFFICERS, AND EMPLOYEES, AGAINST ANY AND ALL THIRD-PARTY CLAIMS, DEMANDS, DAMAGES, AND LIABILITIES ARISING OUT OF ANY MISREPRESENTATION BY YOU OF YOUR AUTHORITY TO GRANT THIS LICENSE AND RELEASE.
- You agree and acknowledge that these terms shall be governed by the laws of the state of Delaware without reference to the rules thereof relating to conflicts of law, and that all disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of the District of Columbia.
